• The specific PRO you are affiliated with and their applicable royalty calculation methodology

• The percentage of premium vs. free-tier listeners in your audience
• Processing timelines and distribution periods of the applicable collection societies

Governing Law and Dispute Resolution

These Terms and Conditions are governed by and construed in accordance with the laws of the United States and the state in which doingwell, LLC is organized, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or your use of Paid Producer shall first be subject to good faith negotiation between the parties. If the dispute cannot be resolved through negotiation within 30 days, it shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in the jurisdiction of doingwell, LLC's principal place of business. Judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm pending arbitration.
